“Exempt” describes a prospectus exemption

Not an exemption from risk. The issuer is exempt from producing the detailed, regulator-reviewed document that accompanies a public offering. Available information is therefore less standardized, and comparing investments markedly harder.

These investments carry a risk of loss, often total. That is not boilerplate: it is the first thing a representative must tell you, and the reason access is regulated.
